1. Acceptance of Terms
Welcome to OffMenu. These Terms and Conditions ("Terms") govern your access to and use of the OffMenu mobile application, website, and related services (collectively, the "Services") operated by Hook Technology LLC ("we," "our," or "us").
By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines, which are incorporated into these Terms by reference.

If you do not agree to these Terms, our Privacy Policy, or our Community Guidelines, do not use the Services.
2. Eligibility
You must be at least 13 years old to use the Services.
By using the Services, you represent and warrant that:
You meet the minimum age requirement.
You have the legal capacity to enter into these Terms.
The information you provide is accurate and complete.
You will comply with applicable laws and regulations.
If you are using OffMenu on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.
3. Accounts
Certain features of OffMenu may require you to create an account.
You are responsible for:
Maintaining the confidentiality of your login credentials.
Keeping your account information accurate and current.
Activities conducted through your account.
Promptly notifying us if you become aware of unauthorized access to your account.
You may not create an account using false information or impersonate another person, business, or organization.
We may restrict, suspend, or terminate accounts that violate these Terms or our Community Guidelines.
4. Business Accounts
Businesses may create profiles, offers, promotions, listings, images, descriptions, and other content through OffMenu.
Businesses are responsible for:
Providing accurate and current business information.
Maintaining appropriate authority to represent the business.
Ensuring that offers and promotions are accurate.
Clearly communicating material restrictions, expiration dates, eligibility requirements, and other applicable conditions.
Honoring valid offers made available through OffMenu.
Complying with applicable advertising, promotion, consumer protection, licensing, tax, and other legal requirements.
OffMenu does not guarantee that any offer, promotion, or business profile will generate a particular level of visibility, customer traffic, revenue, engagement, or other result.
5. Offers, Promotions, and Claims
OffMenu allows businesses to publish offers, promotions, specials, and other opportunities that users may discover, claim, sign up for, or otherwise interact with.
Unless otherwise stated:
Offers are provided by the individual business, not by Hook Technology LLC.
Businesses are responsible for determining and honoring the terms of their offers.
Availability may be limited.
Offers may be subject to expiration dates, quantity limits, eligibility requirements, or other conditions.
Users are responsible for reviewing applicable offer terms before claiming or redeeming an offer.
OffMenu may provide technology that facilitates the discovery, claiming, redemption, or tracking of offers but does not independently guarantee the quality, availability, accuracy, or fulfillment of any business offer.
If a dispute arises regarding an offer, we may assist where appropriate, but the business providing the offer remains primarily responsible for the offer itself.
6. Check-Ins and Customer Activity
OffMenu may provide check-in, redemption, sign-up, booking, or similar functionality that allows businesses and users to confirm or record interactions.
Businesses may be provided information regarding activity involving their business, including offer claims, check-ins, followers, ratings, and other interactions made available through the Services.
You agree not to:
Create fraudulent check-ins.
Manipulate redemptions or offer claims.
Falsify customer activity.
Use automated or coordinated activity to artificially increase engagement.
Misrepresent whether a customer visited or interacted with a business.
Information generated through these features is intended to help facilitate legitimate customer-business interactions and may not always be complete or error-free.
7. Following Businesses and Communications
Users may be able to follow businesses on OffMenu to discover future offers, updates, and other content.
Businesses may use OffMenu to communicate with users who have interacted with or followed their business, subject to available platform features, user settings, these Terms, and our Community Guidelines.
OffMenu does not guarantee that every message, offer, notification, or update will be delivered, opened, or viewed.
Businesses may not use OffMenu communication features for:
Harassment.
Spam.
Fraudulent solicitation.
Misleading promotions.
Repeated unwanted contact.
Unlawful marketing activity.
Users may have access to blocking, reporting, notification, or other communication controls.
8. Ratings and Reviews
Users may be able to rate businesses, offers, or experiences and submit reviews or other feedback.
Ratings and reviews should reflect genuine experiences.
You may not:
Submit false or fabricated reviews.
Manipulate ratings.
Coordinate reviews to artificially improve or damage a business's reputation.
Offer or accept compensation in exchange for deceptive reviews.
Use multiple accounts to manipulate ratings or feedback.
Businesses may encourage customers to leave feedback but may not improperly pressure users to provide a particular rating or review.
We may remove reviews or ratings that violate these Terms or our Community Guidelines.
9. User Content
Users and businesses may submit, upload, publish, transmit, or share content through the Services, including:
Business information.
Offers and promotions.
Photos and videos.
Reviews and ratings.
Profile information.
Messages.
Comments.
Other materials submitted through OffMenu.
You retain ownership of content you submit.
By submitting content through OffMenu, you grant Hook Technology LLC a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, modify for technical purposes, display, distribute, and use that content as reasonably necessary to operate, provide, improve, secure, and promote the Services.
You represent and warrant that:
You own the content or have the rights necessary to submit it.
Your content does not violate another person's intellectual property, privacy, publicity, or other rights.
Your content complies with applicable laws.
Your content complies with these Terms and our Community Guidelines.
10. Prohibited Conduct
You agree not to:
Violate applicable laws or regulations.
Impersonate another person, business, or organization.
Upload false, misleading, deceptive, or fraudulent content.
Publish fraudulent offers or promotions.
Manipulate check-ins, claims, followers, ratings, reviews, or other activity.
Harass, threaten, intimidate, or abuse another user or business.
Send spam or repeated unwanted communications.
Attempt to gain unauthorized access to accounts, systems, or data.
Interfere with or disrupt the operation of the Services.
Upload malware, viruses, or other harmful code.
Use automated systems to scrape, spam, manipulate, or abuse the Services without authorization.
Use information obtained through OffMenu to stalk, harass, exploit, or improperly contact another person.
Use the Services for fraudulent, harmful, or unlawful purposes.
We may remove content or restrict accounts that violate these Terms.
11. Community Guidelines
OffMenu is intended to provide a safe and respectful environment for users and businesses.
All users and businesses must comply with the OffMenu Community Guidelines available at:

The Community Guidelines address prohibited content and conduct, reviews, offers, messaging, reporting, blocking, privacy, platform manipulation, and enforcement.
Violations may result in:
Content removal.
Offer removal.
Feature restrictions.
Account restrictions.
Temporary suspension.
Permanent account termination.
Severe violations may result in immediate enforcement action.
12. Payments and Third-Party Transactions
Certain OffMenu features may allow users to make payments, reservations, bookings, or other transactions with participating businesses.
Payment processing may be provided by third-party payment processors.
When you make a payment or other transaction:
Additional terms from the business or payment processor may apply.
Payment information may be processed directly by the applicable payment provider.
OffMenu may receive transaction-related information necessary to operate the Services.
Unless otherwise expressly stated, businesses remain responsible for the products, services, experiences, refunds, fulfillment, taxes, and other obligations associated with transactions involving their business.
We do not guarantee the availability or performance of any third-party payment service.
13. Intellectual Property
The Services, including the OffMenu software, design, branding, trademarks, logos, graphics, interfaces, text, and other materials provided by Hook Technology LLC, are owned by Hook Technology LLC or its licensors and are protected by applicable intellectual property laws.
Except as expressly authorized by us, you may not:
Copy.
Modify.
Reproduce.
Distribute.
Sell.
License.
Reverse engineer.
Create derivative works from
any portion of the Services.
"OffMenu," associated logos, and other branding used in connection with the Services may not be used without permission.
14. Third-Party Services
The Services may contain links to or integrations with third-party websites, platforms, products, payment providers, maps, communication services, or other services.
Hook Technology LLC is not responsible for:
Third-party websites or services.
Third-party content.
Third-party availability or performance.
Third-party privacy or security practices.
Transactions conducted directly with third parties.
Your use of third-party services may be governed by separate terms and privacy policies.
15. Business and User Relationships
OffMenu provides a platform that facilitates interactions between users and independent businesses.
Unless expressly stated otherwise, Hook Technology LLC:
Does not own or operate participating businesses.
Does not employ businesses or their personnel.
Does not control how businesses provide their products or services.
Is not a party to every transaction or interaction between a user and a business.
Businesses are independently responsible for the products, services, offers, experiences, information, and customer service they provide.
Users are responsible for deciding whether to visit, purchase from, communicate with, or otherwise interact with a business.
16. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOK TECHNOLOGY LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT:
THE SERVICES WILL ALWAYS BE AVAILABLE OR UNINTERRUPTED;
THE SERVICES WILL BE ERROR-FREE;
ALL INFORMATION PROVIDED THROUGH THE SERVICES WILL BE COMPLETE OR ACCURATE;
EVERY OFFER WILL REMAIN AVAILABLE;
EVERY BUSINESS WILL HONOR AN OFFER IN ALL CIRCUMSTANCES;
EVERY MESSAGE OR NOTIFICATION WILL BE DELIVERED;
RATINGS OR REVIEWS WILL ACCURATELY REPRESENT EVERY USER'S EXPERIENCE;
ANY BUSINESS PROMOTION WILL RESULT IN SALES, CUSTOMER TRAFFIC, REVENUE, OR CUSTOMER ACQUISITION;
ANY USER EXPERIENCE WITH A BUSINESS WILL MEET A PARTICULAR EXPECTATION.
Use of the Services is at your own risk.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOK TECHNOLOGY LLC AND ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
$100 USD; OR
THE AMOUNT YOU PAID DIRECTLY TO HOOK TECHNOLOGY LLC DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain limitations of liability, so some of these limitations may not apply to you.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Hook Technology LLC and its affiliates, members, officers, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
Your use of the Services.
Your content.
Your offers or business activities.
Your interactions with other users or businesses.
Your violation of these Terms.
Your violation of the Community Guidelines.
Your violation of applicable law.
Your violation of another person's rights.
19. Suspension and Termination
We may restrict, suspend, or terminate access to the Services when we reasonably believe that:
You have violated these Terms.
You have violated our Community Guidelines.
Your account presents a security, legal, or safety risk.
Your activity is fraudulent, abusive, harmful, or unlawful.
Restriction is necessary to protect OffMenu, its users, businesses, or third parties.
We may also remove or restrict content, offers, reviews, or communications that violate our policies.
Severe violations may result in immediate suspension or termination.
You may stop using the Services at any time and may request account deletion through available account features or by contacting us.
Certain provisions of these Terms that by their nature should survive termination will remain in effect after termination.
20. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
21. Dispute Resolution
To the extent permitted by applicable law, disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in the State of New Jersey.
Nothing in this section prevents either party from seeking temporary, injunctive, or equitable relief from a court of competent jurisdiction where such relief is legally available.
Nothing in these Terms limits rights that cannot legally be waived under applicable law.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Services, our practices, or applicable law.
When changes are made, we will update the Effective Date shown above.
Material changes may also be communicated through the Services or by another appropriate method.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
